Having the willingness and the money to buy a business doesn't guarantee you'll be able to close the deal and purchase the business you want.

Many factors, such as due diligence, negotiations, financing, and legal issues, come into play.

Even with the best intentions and resources, you might encounter obstacles that can prevent the deal from going through.

Here, the four of us will share what we've seen work to close a deal successfully.

The other day, Bill and Mills reviewed a van-life e-commerce business for sale on Quietlight, with $6.4M in revenue and a $1.2M EBITDA.

Should you buy it?

So, the asking price for the business was $4.5 million, which includes inventory and represents a 3.7x multiple of the net income.

They sell high-value items (average order value around $800) through a combination of their own warehouse (70%) and drop-shipping (30%).

Even with an outdated WooCommerce website from 2016, they attract nearly 100k monthly organic traffic without paid marketing. Here are some pros and cons:

Pros:
• Focused on van-life enthusiasts.
• Updating the website and running paid ads could significantly increase sales.
• Each sale averages around $800.
• Strong SEO-driven traffic without paid marketing.
• Potential to grow by adding more accessories.

Cons:
• Updating the site could risk losing SEO rankings.
• The current owner is crucial for new product ideas.
• Managing bulky items in a warehouse can be complex.
• Reliance on a few key products could be risky if market trends change.

We believe this might be a great investment opportunity.

As Bill said:

"This is one of the better deals we've done in a long time."

But what do you think of this deal?
